COLUMBUS, INDIANA REGION
CONSTITUTION AND BY-LAWS
 
Article I
Name and Purpose
Section 1- Name.
This club shall be known as "The Columbus, Indiana Region" of "The Model 'A' Restorers Club, Inc.", which is a non-profit membership organization. The club is incorporated in the state of Indiana as "Columbus Chapter MARC, Inc.".
 
Section 2- Purpose.
The general purposes shall be to encourage the members to acquire, preserve, restore, exhibit and make use of the Model "A" Ford vehicle, model years 1928 through 1931 and all things pertaining to the Model "A" Ford, including literature, technical and historical information and to promote the introduction of ideas and fellowship for the enjoyment of its members.
 
Article II
Membership
 
Section 1- Members.
Any person interested in the purposes of this organization is eligible for membership.
 
Section 2- Classes of Membership.
 
A. Active:
Any person interested in the purposes may be elected as an active member. Application for active membership shall be signed by one active member and approved by the Membership Committee which shall consist of the three (3) elected directors.
 
B. Other Classes:
Other classes of membership may be provided for by the Executive Board according to the best interest of the organization.
 
Section 3- Dues.
The amount of dues payable to the chapter shall be fixed for the calendar year by the majority vote of those members present at the annual election of officers meeting. (Members elected to membership during November and December will be entitled to membership during the ensuing year) .Such annual dues shall include member and spouse.
 
Section 4- Privileges.
Members are entitled to all club privileges and shall have the right to vote. A member can hold office if the member has conformed to Section 3 of Article IV.
 
Section 5 - Suspension and Expulsion.
Payment of Dues. Annual dues shall be paid by January lst. Any members, whose dues are not paid by sixty (60) days after January lst, shall be expelled for non-payment of dues at the discretion of the Executive Board and may be reinstated at the discretion of the Executive Board.
 
The membership of any chapter member may be terminated by 2/3 vote of the Executive Board for conduct unbecoming a member of the MARC or other cause, upon giving the member in question full opportunity to hear and to reply to the charges or reasons for such action.
 
Section 6- Insurance.
All members must be insured individually. The Club is not responsible for acts of members or members' vehicles and action cannot be brought against the Club for any member's careless acts for any reason.
 
Article III
Meetings
 
Section 1- Regular Meetings.
There shall be a minimum of nine (9) stated meetings a year, with additional meetings optional.
 
 
Article IV
Officers
 
Section 1- Number of Officers.
The elected officers of this chapter shall be a President, Vice-President, Secretary, Treasurer, and three (3) Directors.
 
Section 2- These officers shall be elected from the active members at the last stated meeting of the calendar year.
 
Section 3- For the purpose of holding office as stated in Article IV, section 2, an active member is one who attends at least 2/3 of the stated meetings in the calendar year.
 
Section 4- All members of the chapter in good standing shall be given proper notice of the meeting for election of officers and will have the opportunity to vote if present at the meeting.
 
Article V
Duties of Elected Officers
 
Section 1- Duties of President.
The President shall preside at all meetings of the chapter members and of the Executive Board. The President shall appoint all committee chairmen. The President shall have power to decide all questions of equal division and have all power and duties usually vested in the President of an organization.
 
Section 2- Duties of Vice-President.
The Vice-President shall serve in the absence of the President.
 
Section 3- Duties of Secretary.
The Secretary shall handle all official correspondence of the chapter and shall keep minutes of all meetings of the members and executive board.
 
Upon request, the Secretary shall attend meetings of the committees.
 
The Secretary shall keep an up-to-date roll of all chapter members in good standing and shall supply the chairman of the Publication Committee with this roll once a year for publication. The Secretary shall promptly notify the National Club of all new members, or change in status of existing members of the chapter.
 
The Secretary shall give all notices of meetings of the members and Executive Board, and shall perform all duties incident to the office. In the absence of the Secretary from any meetings of the members or Executive Board a Secretary-pro-tempore shall be chosen by the presiding officer.
 
Section 4- Duties of Treasurer.
The Treasurer shall collect and disburse the funds of the chapter as may be ordered by the Executive Board. The Treasurer shall render a financial report at the last meeting of each calendar year and whenever the President or Executive Board requires the same. The Treasurer shall give bond at the expense of the chapter if required to do so by the Executive Board. The Treasurer shall collect all dues payable by chapter members and give each member a signed membership card or receipt.
 
Article VI
Board of Directors -The Executive Board
 
Section 1- The Executive Board.
The Executive Board shall consist of the elected officers of the club.
 
Section 2- Power of the Executive Board.
The Executive Board shall have and exercise all the power of the club except those required by law or by the Constitution and By-Laws to be exercised by the members.
 
The Executive Board may appoint such other officers, committees, agent or employees as it deems necessary and shall fill all temporary or permanent vacancies that may occur during the year in any club office.
 
The Executive Board shall have the power to proceed in any manner as may, in their judgment, serve the best interests of the club. Any question arising may be subject to 100% vote of the club membership at the discretion of the Executive Board.
 
The Executive Board shall act on any and all grievances from the club membership, which shall be presented in writing by the grieved member to any member of the Executive Board. (The purpose of this procedure is to avoid any undue embarrassment or enmity among the membership.)
 
 
Article VII
Committees
Section 1- Appointment of committees.
The Board of Directors shall appoint such committees as it finds desirable, from time to time, and shall outline the duties and responsibilities of such committees. All reports or action taken by a committee must be voted by a majority of the entire committee.
 
Article VIII
Club Fiscal Year
 
Section 1- The Fiscal year of the club shall be the calendar year.
 
Amendments To constitution:
 
1.)    Article IV - Section 1.- Number of Officers.
 
The elected officers of this chapter shall be a President, Vice-President, Secretary, Treasurer and (2) Directors. The out-going President will automatically become a 3rd Director for the term following his term in office.
 
2.) Article IV - Section 2.- Officers
 
These officers shall be elected from the active members at next to the last stated meeting of each calendar year.
 
3.)    Article II - Section 2.- Classes of Membership
 
A. Active: Any person interested in the purposes may be elected as an active member. Application for membership shall be signed by one active member and approved by the Membership Committee, which shall consist of the (3) Directors.
 
4.) Article V - Section 1.- Duties of Elected Officers
 
The President shall be known as the Director of the Region, while holding the office of President.
